Smooth Deploy Terms of Service

These Terms of Service ("Terms") govern your access to and use of Smooth Deploy ("Service," "Platform," "we," "us," or "our"), a test automation platform operated by Smooth Deploy. By accessing or using our Service, you agree to be bound by these Terms.

1. Definitions

"Account" means a user account created to access the Service.

"Customer," "you," or "your" means the individual or entity that has agreed to these Terms.

"Customer Data" means all data, including test scripts, test configurations, selectors, shared steps, environment variables, and test artifacts (screenshots, traces, videos, logs), that you upload, create, or generate through the Service.

"Desktop App" means the Smooth Deploy native application that runs locally on your computer.

"Organization" means a group account that may include multiple users under a single billing relationship.

"Concurrency Unit" or "CU" means a unit of cloud execution capacity that allows one test to run in parallel on our infrastructure.

"Playwright" means the open-source browser automation framework (Apache-2.0 license) upon which Smooth Deploy is built.

"Shared Steps" means reusable sequences of test steps that can be used across multiple tests.

2. Account Registration and Use

2.1 Account Creation

To use the Service, you must create an Account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your Account.

2.2 Organization Accounts

Organizations may include up to twenty (20) users under a standard subscription. Additional users may be negotiated separately. Organization owners & administrators are responsible for managing user access and permissions within their Organization.

2.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Service Description

3.1 Platform Overview

Smooth Deploy provides a test automation platform that includes:

3.2 Playwright Foundation

The Service is built on the open-source Playwright framework. All tests created through Smooth Deploy are standard Playwright code that can be exported and executed independently of the Service.

3.3 Desktop Application

The Desktop App bundles the Playwright library and browser binaries (Chromium, Firefox, WebKit) for local test recording and execution. The Desktop App installs and operates software on your local machine. You are responsible for ensuring your local environment meets the system requirements and for any effects the Desktop App may have on your local system.

4. Customer Data Ownership and License

4.1 Your Ownership

You retain all right, title, and interest in and to your Customer Data. Nothing in these Terms transfers ownership of your Customer Data to Smooth Deploy.

4.2 License to Smooth Deploy

You grant Smooth Deploy a worldwide, non-exclusive, royalty-free license to host, store, process, execute, display, and transmit your Customer Data solely for the purpose of providing, maintaining, and improving the Service. This license includes the right to create backups and to process Customer Data through our infrastructure providers.

4.3 No Other Use

We will not sell, share, or use your Customer Data for any purpose other than providing the Service, except as required by law or as otherwise specified in our Privacy Policy.

4.4 Test Target Sites

Your tests may interact with third-party websites and applications ("Test Targets"). You are solely responsible for ensuring you have the right to test against any Test Target, and for any data captured from Test Targets in screenshots, traces, or other artifacts. Smooth Deploy is not responsible for the content of Test Targets or any data derived from them.

5. Data Export and Portability

5.1 Export Rights

You may export your Customer Data, including test scripts, configurations, and artifacts, at any time during your subscription. Tests are stored in standard Playwright code format and can be executed outside the Service without modification.

5.2 Termination Export

Upon termination of your subscription, you will have ninety (90) days to export your Customer Data. After this period, we may delete your Customer Data in accordance with our data retention policies.

5.3 No Lock-In Commitment

We are committed to ensuring you can leave the Service at any time with your tests and data. We will not take any action to prevent or hinder your ability to export your Customer Data or to run your tests outside the Service.

6. Acceptable Use

6.1 Permitted Use

You may use the Service only for lawful purposes related to test automation and quality assurance.

We reserve the right to implement fair use policies if your usage significantly exceeds normal patterns or adversely affects other customers. We will provide notice before taking any limiting action, except in cases of immediate security concern.

7. Subscription and Payment

7.1 Subscription Plans

The Service is offered on a subscription basis. Subscription terms may be monthly or annual, as selected at the time of purchase.

7.2 Concurrency-Based Pricing

Pricing is primarily based on Concurrency Units (CUs). Each CU provides the ability to run one test in parallel on our cloud infrastructure. Local test runs through the Desktop App are unlimited and not metered.

7.3 Payment Terms

Payment is due in advance for the subscription period. We accept payment via credit card through our payment processor (Lemon Squeezy) or by bank transfer for annual subscriptions. For bank transfers, payment must be received within fifteen (15) days of invoice date.

7.4 Taxes

Prices are exclusive of applicable taxes. You are responsible for paying any taxes associated with your use of the Service, except for taxes based on our net income.

7.5 Price Changes

We may change our prices upon thirty (30) days notice. Price changes will take effect at the start of your next subscription period following the notice.

7.6 Refunds

Annual subscriptions may be eligible for a pro-rata refund if cancelled within the first thirty (30) days. Monthly subscriptions are non-refundable. Refunds are at our reasonable discretion.

7.7 Plan Changes

You may upgrade your subscription (add Concurrency Units) at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your billing period.

For monthly subscriptions, you may downgrade your subscription (reduce Concurrency Units) at any time. Downgrades take effect at the start of your next billing period.

For annual subscriptions, downgrades are not permitted during the subscription term. You may adjust your plan at renewal.

8. Data Retention

8.1 Active Subscription

During your active subscription, we retain your Customer Data including test definitions, configurations, and run history.

8.2 Artifact Retention

Test artifacts (screenshots, traces, videos, logs) are retained according to your subscription tier:

Following termination, we will retain your Customer Data for ninety (90) days to allow for export. After this period, Customer Data may be permanently deleted.

9. Security and Data Protection

Customer Data is primarily stored in AWS eu-west-1 (Ireland).

9.4 Secrets Handling

Secrets and credentials you store in the Service (such as login credentials for Test Targets) are encrypted and only decrypted at runtime during test execution. We do not have access to your plaintext secrets.

9.5 Security Incidents

In the event of a security incident affecting your Customer Data, we will notify you within seventy-two (72) hours of becoming aware of the incident and provide information about the nature and scope of the incident.

10. Intellectual Property

10.1 Service Ownership

Smooth Deploy and its licensors own all right, title, and interest in the Service, including all intellectual property rights. These Terms do not grant you any rights to our trademarks, service marks, or branding.

10.2 Playwright

The Service incorporates Playwright, which is licensed under the Apache License 2.0. Your use of Playwright through the Service is subject to the Apache License 2.0 terms.

10.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, worldwide, perpetual license to use such feedback for any purpose without obligation to you.

11. Third-Party Services

11.1 Integrations

The Service may integrate with third-party services (such as CI/CD platforms, version control systems, and communication tools). Your use of third-party services is subject to those services' terms and conditions.

11.2 Payment Processing

Payment processing is provided by Lemon Squeezy, which acts as the Merchant of Record. Your payments are subject to Lemon Squeezy's terms of service.

11.3 Data Processing Agreement

Our Data Processing Agreement is available upon request from support@smoothdeploy.com. The Data Processing Agreement governs how we process personal data on your behalf and is incorporated into these Terms. By using the Service, you agree to the terms of the Data Processing Agreement.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

WE DO NOT WARRANT THE RESULTS OF TESTS EXECUTED THROUGH THE SERVICE OR THE ACCURACY OF TEST ARTIFACTS.

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMOOTH DEPLOY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

13.2 Liability Cap

SMOOTH DEPLOY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SMOOTH DEPLOY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US.

You agree to indemnify, defend, and hold harmless Smooth Deploy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

You may terminate your subscription at any time through the Service or by contacting us. Termination takes effect at the end of your current billing period.

Customer grants SmoothDeploy the right to use Customer’s name and logo in lists of customers on the website ‘customers’ section , subject to Customer’s brand guidelines and any written notice to stop, no press release without prior written consent.

16. General Provisions

16.1 Modifications

We may modify these Terms at any time by posting the modified terms on our website. Material changes will be communicated via email or through the Service at least thirty (30) days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

16.2 Governing Law

These Terms are governed by the laws of Israel, without regard to conflict of law principles.

16.3 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Tel Aviv, Israel, or at the election of either party, to the courts of Tel Aviv, Israel.

16.4 Entire Agreement

These Terms, together with the Privacy Policy, Data Processing Agreement (available upon request from support@smoothdeploy.com), and any applicable service agreements, constitute the entire agreement between you and Smooth Deploy regarding the Service.

16.5 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.6 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.7 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to any successor in interest.
